
TERMS AND CONDITIONS OF USE

These Terms and Conditions of Use (hereinafter, the “Terms”) govern access to and use of the website, digital forms, payment links, platforms, materials, resources, digital services, events, workshops, mentorships, trainings, presentations, programs, recordings, electronic communications, and any other authorized medium used by Yolanda Mercado Fretts d/b/a AILERISE (hereinafter, “AILERISE”) to offer, promote, coordinate, market, administer, or provide its services. By accessing, browsing, registering, completing forms, making payments, purchasing services, accessing materials, participating in activities, or using any digital medium of AILERISE, you acknowledge that these Terms govern the use of such media, services, materials, or resources. If you do not agree with these Terms, you must refrain from using them.
Services Offered by AILERISE
AILERISE offers educational, training, strategic, and professional support services that may include, without limitation, conferences, workshops, mentorships, training programs, trainings, masterclasses, webinars, presentations, creation of educational materials, guides, workbooks, worksheets, digital resources, services related to artificial intelligence, social-emotional learning, content creation, communication, professional development, educational innovation, and other related services. The services may be offered in person, virtually, in hybrid format, recorded, live, or through any other authorized or agreed-upon format, according to the nature of the service, AILERISE’s availability, the platform used, proposal, invoice, registration form, written communication, or applicable agreement. The scope, duration, modality, date, time, location, number of participants, access to materials, access to recordings, deliverables, investment, payment methods, cancellation policy, rescheduling, access, and any other specific condition may vary according to the service acquired or contracted.
Relationship Between These Terms and Specific Agreements
These Terms apply generally to the use of the website, forms, platforms, materials, events, digital resources, and services offered by AILERISE. When there is a services contract, proposal, quotation, invoice, registration form, written communication, specific policy, authorization, release, confidentiality agreement, or any other written agreement accepted by the client or participant, such document shall supplement these Terms. In the event of a conflict between these Terms and a specific written agreement accepted by the parties, the specific written agreement shall prevail only with respect to the particular service contracted, unless such agreement provides otherwise or an applicable legal provision requires a different result. These Terms do not automatically replace or modify contracts, proposals, quotations, invoices, forms, or particular conditions previously accepted in writing for a specific service. Nothing in these Terms shall be interpreted as an obligation of AILERISE to provide services, materials, access, recordings, revisions, rescheduling, discounts, credits, benefits, or deliverables that have not been expressly included or agreed to in writing. Educational and Informational
Nature of the Content
The content shared by AILERISE on its website, social media, workshops, mentorships, trainings, presentations, materials, digital resources, live broadcasts, videos, articles, publications, emails, podcasts, interviews, or any other medium is offered for educational, informational, and general guidance purposes. Such content does not constitute, and should not be interpreted as, legal, financial, tax, accounting, psychological, specialized technical advice, or any other regulated professional advice requiring a license, authorization, individualized evaluation, or particular analysis by an authorized professional. Any person, business, brand, institution, or organization that needs specific guidance regarding a particular situation should seek the corresponding professional advice, according to the nature of the matter and its particular circumstances.
No Creation of an Individualized Professional Relationship
Access to the website, viewing of content, downloading of materials, reading of publications, participation in comments, attendance at events, interaction on social media, or receipt of general information does not, by itself, create an individualized professional relationship or an obligation of advice, consulting, mentorship, training, or particular support by AILERISE. Any relationship involving services, consulting, mentorship, training, workshop, presentation, program, or individualized support shall arise only when AILERISE agrees to provide services in accordance with its internal processes, availability, scope, corresponding payment, required documentation, and applicable agreement.
Use of Artificial Intelligence and Technological Tools
Due to the nature of the services offered by AILERISE, its services, content, materials, exercises, strategies, examples, or trainings may include the use, explanation, demonstration, or integration of technological tools, digital platforms, productivity programs, cloud services, design tools, automation, artificial intelligence, or other similar resources. The use of artificial intelligence tools or technology is offered for educational, strategic, demonstrative, or learning-support purposes. AILERISE does not guarantee that such tools will be free from errors, interruptions, changes in their policies, technical limitations, inaccurate results, access restrictions, future costs, modifications, availability, or third-party decisions. Each person, client, participant, business, or organization shall be responsible for evaluating, validating, adapting, and applying any result, content, suggestion, material, strategy, or information generated by or supported by technological or artificial intelligence tools according to its reality, industry, objectives, internal policies, and applicable laws. The client or participant shall not share confidential, sensitive, privileged, student-related, strategic information, personal data of third parties, or information protected by law in technological tools, digital platforms, or artificial intelligence systems, unless the client or participant has the corresponding authorization, there is an applicable legal basis, and the risks related to such use have been reasonably evaluated.
Registration, Access, and Credentials
Some services, materials, events, recordings, digital resources, or platforms of AILERISE may require registration, payment, a form, email, access link, password, credential, code, authorization, or prior confirmation. The access granted shall be personal, limited, non-exclusive, non-transferable, and solely for the authorized use in accordance with the service acquired or contracted, unless AILERISE authorizes otherwise in writing. It is prohibited to share, sell, assign, transfer, sublicense, lend, distribute, or permit the use of AILERISE’s links, recordings, credentials, materials, access, platforms, or digital resources by unauthorized persons. AILERISE may limit, suspend, cancel, or deny access when it identifies unauthorized use, shared use, breach of these Terms, nonpayment, inappropriate conduct, security risk, violation of intellectual property, or any other situation that reasonably affects its rights, services, participants, platforms, or materials.
Payments, Prices, and Payment Methods
The applicable prices, rates, charges, deposits, balances, payment plans, due dates, payment methods, and economic conditions shall be those published, informed, or accepted in writing at the time of acquiring, reserving, or contracting the service. Payments may be made through the methods accepted by AILERISE, including, as available, ATH Business, PayPal, check, payment platforms, payment links, or any other method authorized by AILERISE. AILERISE may add, modify, suspend, or limit available payment methods, subject to its operational needs, platform availability, processing costs, or conditions of external providers. When any payment method entails processing fees, bank fees, platform fees, transaction fees, service fees, or administrative fees, such fees may be assumed by the client when they have been previously informed or included in the invoice, proposal, registration form, written communication, or applicable agreement. Failure to pay within the established term may result in suspension, postponement, cancellation, non-provision of the service, withholding of materials, denial of access, non-delivery of resources, or any other remedy permitted under these Terms, the applicable agreement, and governing law.
Non-Refundable Payments
Unless AILERISE agrees otherwise in writing, the specific policy of the service provides
otherwise, or an applicable legal provision requires a different result, payments made for contracted services, date reservations, deposits, digital access, materials, workshops, mentorships, conferences, webinars, programs, events, resources, or any other service offered by AILERISE shall be considered non-refundable. Once payment has been made, the client or participant shall not have an automatic right to request a refund due to cancellation, early termination, nonattendance, lack of participation, partial use of the service, non-use of the service, technical problems attributable to the client or participant, changes in availability, or any other reason not exclusively attributable to AILERISE, subject to the specific cancellation, rescheduling, credit, nonattendance, or access policies applicable to the corresponding service. In the event of cancellation of the service by AILERISE, the matter shall be addressed pursuant to the applicable cancellation policy, and a new date, credit, or refund of the payment made for the service not provided may be offered, as appropriate and as agreed. Virtual Events, Webinars, Online Workshops, and Digital Mentorships In virtual events, webinars, online workshops, digital mentorships, virtual trainings, or similar services, access may be sent immediately, as scheduled, or through a link, platform, credential, email, or digital resource. Virtual access, connection links, credentials, materials, and recordings, if any, shall be personal and non-transferable, unless authorized in writing by AILERISE. It is the participant’s responsibility to have a stable internet connection, functional equipment, access to the corresponding platform, audio, camera, appropriate device, suitable environment, and any other technical requirement necessary to participate adequately. Technical failures attributable to the participant, the participant’s equipment, connection, network, device, lack of updates, unfamiliarity with the platform, or circumstances outside AILERISE’s reasonable control shall not give rise to an automatic right to a refund, replacement, compensation, extension of access, or rescheduling. When AILERISE provides access to a recording as part of the service, such access shall be subject to the term, conditions, platform, and limitations informed or agreed upon. Unless otherwise provided in writing, access to recordings shall be limited and non-transferable.
In-Person Events, Conferences, Workshops, and Trainings
In in-person events, conferences, workshops, masterclasses, trainings, professional trainings, or similar activities, the payment or registration may cover, as applicable, space reservation, materials, logistics, preparation, coordination, resources, and other costs associated with the event. The seat, registration, or participation may be nominative, personal, and non-transferable when so indicated, for reasons of security, access control, personalization of materials, logistics, capacity of the space, or nature of the service. The participant’s nonattendance at the event, workshop, conference, training, or contracted service shall not give rise to an automatic right to a refund, credit, replacement, delivery of materials, access to recordings, rescheduling, or compensation, unless AILERISE agrees otherwise in writing or the specific policy of the service provides otherwise. The participant shall be responsible for arriving on time, complying with registration processes, respecting the rules of the venue, following reasonable instructions, safeguarding personal belongings, and maintaining appropriate conduct during the activity. AILERISE, its resources, collaborators, or representatives shall not be responsible for losses, theft, damages, or items forgotten by participants, unless an applicable legal provision provides otherwise.
Conduct of the Client or Participant
Every person who uses AILERISE’s website, platforms, services, events, workshops, mentorships, trainings, materials, groups, chats, social media, or related spaces shall maintain professional, respectful, safe, and appropriate conduct. Any expression, action, or omission that constitutes disrespect, harassment, discrimination, threat, intimidation, violence, offensive language, undue interruption, unauthorized recording, misuse of materials, disruptive conduct, failure to comply with instructions, impairment of the development of the service, or impairment of the experience, safety, o dignity of AILERISE, its resources, collaborators, participants, or third parties shall be considered unacceptable conduct. AILERISE may take reasonable measures in response to unacceptable conduct, including a warning, limitation of participation, removal from the in-person or virtual space, denial of access, suspension, or cancellation of the service, without this implying an automatic right to a refund, credit, replacement, rescheduling, or compensation, unless AILERISE agrees otherwise in writing or an applicable legal provision provides otherwise.
Rules of Participation in Virtual Environments
In virtual services, participants shall endeavor to connect from an adequate, safe, quiet space free from interruptions that allows appropriate participation. AILERISE may establish participation rules, including the use of microphones, camera, chat, questions, turns, punctuality, visible name, interaction, access to materials, and rules of respect. It is not permitted to record, photograph, take screenshots, reproduce, transcribe, distribute, publish, share, or store content, materials, presentations, conversations, images, or recordings of the activity without AILERISE’s prior written authorization, except for uses permitted by law. This prohibition includes, without limitation, audio or video recordings, screenshots, photographs of materials or presentations, use of smart devices, automatic transcription tools, artificial intelligence platforms, or any other digital or technological medium used to store or share the content presented.
Reasonable Accommodations
Persons who require any reasonable accommodation to participate in an event, workshop, training, mentorship, webinar, conference, presentation, or service of AILERISE must notify AILERISE as far in advance as reasonably possible or within the term informed for the corresponding activity. AILERISE may collect only the limited information that is reasonably necessary to evaluate, coordinate, or address the accommodation request, according to the nature of the activity, the resources available, and the particular circumstances. A request for reasonable accommodation does not imply that AILERISE will be obligated to automatically grant every accommodation requested; rather, AILERISE will evaluate the request reasonably according to the nature of the activity, the information provided, the resources available, and applicable law.
Intellectual Property of AILERISE
The content created, prepared, published, shared, or used by AILERISE, its resources, representatives, collaborators, or authorized personnel, including texts, images, videos, capsules, phrases, educational materials, presentations, explanations, designs, digital resources, templates, exercises, guides, workbooks, recordings, methodologies, strategies, dynamics, tools, processes, worksheets, support documents, and similar materials, may be protected by copyrights, trademarks, image rights, use licenses, contractual agreements, or other applicable rights, whether in favor of AILERISE or whomever legally corresponds. Except with AILERISE’s prior written authorization, it is prohibited to record, copy, reproduce, transcribe, digitize, distribute, share, publish, sell, resell, lend, assign, transfer, sublicense, adapt, modify, create derivative works from, disclose, commercially exploit, or make available to third parties, in whole or in part, AILERISE’s materials, resources, recordings, presentations, documents, strategies, methodologies, templates, guides, workbooks, tools, content, or intellectual property, whether for profit or not for profit. The access granted to the client or participant shall be limited, personal, non-exclusive, non- transferable, and solely for the authorized use in accordance with the contracted service. Such access does not constitute a sale, assignment, transfer, broad license, waiver, authorization to reproduce, or transfer of ownership over AILERISE’s intellectual property, materials, content, recordings, methodologies, strategies, trademarks, or resources. Nothing in these Terms shall be interpreted as an obligation of AILERISE to deliver editable files, editable presentations, internal notes, drafts, internal strategies, proprietary methodologies, working documents, recordings not included, resources not agreed upon, source materials, design files, passwords, administrative access, or any document that has not been expressly agreed upon as a deliverable.
Materials or Information Provided by the Client
The client or participant warrants that the client or participant possesses the necessary rights, permissions, licenses, authorizations, or consents over all information, images, logos, trademarks, photographs, videos, audio, testimonials, documents, presentations, materials, content, or resources delivered to AILERISE for the provision of the services. Ownership of the information or materials provided by the client shall remain with the client or with the person or entity to whom it legally corresponds. However, the client grants AILERISE a limited, non-exclusive license solely to use such information or materials to the extent necessary to coordinate, prepare, adapt, and provide the contracted services. AILERISE shall not assume responsibility for claims, costs, expenses, losses, interruptions, infringements, violations of third-party rights, or consequences arising from the use of information, images, logos, trademarks, documents, materials, or content provided by the client that are incorrect, illegal, unauthorized, confidential, protected by third-party rights, or supplied without the corresponding permissions.
Recordings, Photographs, Image, and Voice
AILERISE may record, photograph, or document certain activities, events, workshops, conferences, webinars, training sessions, or similar activities when necessary for educational, administrative, promotional, archival, quality-control, subsequent access to
materials, or fulfillment of services offered purposes. By participating in an in-person or virtual activity, the participant acknowledges that the participant’s image, voice, visible name, participation, questions, comments, chat messages, or interaction may appear incidentally or directly in photographs, recordings, authorized captures, support materials, or content related to the activity. When AILERISE intends to use a person’s image, voice, name, testimonial, or participation in a principal, prominent, or identifiable manner for promotional or commercial purposes, AILERISE may request written authorization or provide a reasonable mechanism for the person to notify in writing the person’s objection, according to the nature of the activity, the notice provided, and the applicable circumstances. The participant who does not wish to appear in photographs, recordings, or promotional content must notify AILERISE in writing before the activity or as soon as the participant becomes aware of the possibility of being recorded or photographed. AILERISE will make reasonable efforts to address such request, without this implying an absolute guarantee of exclusion when dealing with group events, open spaces, general recordings, or voluntary participation during the activity.
Testimonials
Testimonials, reviews, comments, recommendations, expressions, evaluations, experience stories, messages, publications, mentions, images, videos, audio, screenshots, or any other manifestation shared by clients, participants, users, collaborators, or third parties may be subject to AILERISE’s Testimonials Policy. Testimonials reflect individual experiences and do not constitute a guarantee, promise,
representation, or assurance of specific results. AILERISE will not use testimonials in a manner that creates a false, misleading impression or one contrary to the real experience of the person sharing them. AILERISE does not authorize the use of false, invented, fabricated, purchased testimonials, testimonials generated to appear as a non-existent experience, testimonials generated by artificial intelligence to simulate a real experience, or testimonials attributed to persons who have not had a real experience with AILERISE.
Confidentiality and Privacy
AILERISE will handle personal information in accordance with its Privacy Policy, as
applicable. Persons who interact with AILERISE shall not share confidential, sensitive, privileged, student-related, strategic information, personal data of third parties, or any other information protected by law in comments, public messages, live broadcasts, forms not designated for that purpose, or unauthorized platforms. When the client provides non-public information for the provision of services, AILERISE will use it to the extent necessary to coordinate, prepare, provide, document, or administer
the contracted service, subject to its Privacy Policy, applicable agreements, and legal
obligations. In group spaces, mentorships, workshops, webinars, trainings, or events, participants may voluntarily share comments, questions, experiences, challenges, ideas, examples, or information related to their business, project, profession, or learning process. AILERISE encourages participants to act with respect, prudence, and confidentiality regarding information shared by other persons, but cannot guarantee or control the conduct, disclosure, or subsequent use that other participants may make of information voluntarily shared in such spaces.
Links, Platforms, and Third-Party Services
AILERISE’s website, communications, materials, events, or services may contain links to websites, platforms, tools, social media, resources, documents, videos, payment services, videoconferences, artificial intelligence, cloud storage, or third-party services. Such third parties may have their own privacy policies, terms of use, security measures, fees, limitations, data practices, and access conditions. AILERISE does not control or assume responsibility for the independent privacy, security, content, availability, legality, payment processing, interruptions, errors, results, or information-handling practices of such third parties.
Availability of the Site, Platforms, and Digital Services
AILERISE does not guarantee that its website, forms, links, platforms, materials, digital access, recordings, technological services, or resources will be available continuously uninterruptedly, free of errors, free of security failures, or compatible with all devices, systems, or browsers. Access may be affected by maintenance, updates, technical failures, third-party errors, internet interruptions, platform changes, provider problems, force majeure events, or circumstances outside AILERISE’s reasonable control. AILERISE may modify, suspend, update, limit, or discontinue part of its website, digital services, resources, materials, or platforms when it deems it necessary or convenient, subject to the specific agreements applicable to services already contracted.
Prohibited Uses
It is prohibited to use AILERISE’s website, platforms, materials, services, content, or resources for illegal, deceptive, fraudulent, defamatory, discriminatory, threatening, harassing, privacy-invasive purposes; purposes that violate intellectual property rights; purposes contrary to morality or public order; or purposes incompatible with these Terms. It is also prohibited to attempt to access, without authorization, AILERISE’s accounts, links, platforms, recordings, materials, systems, forms, databases, restricted areas, credentials, or digital resources.
No Guarantee of Results
The services, content, materials, workshops, mentorships, trainings, strategies, tools, examples, or general recommendations offered by AILERISE do not guarantee specific results. AILERISE does not guarantee immediate mastery of artificial intelligence tools, automatic creation of effective content, automatic improvement in communication, automatic increase in visibility, greater reach, positioning, virality, perfect implementation of strategies, institutional changes, commercial results, professional results, immediate mastery of technological tools, or any other particular result. Results will depend on various factors, including the objectives of each person, business, or organization, its industry, audience, available resources, prior experience, level of participation, implementation, consistency, strategic decisions, and execution subsequent to the service or content received.
Reasonable Limitation of Liability
To the extent permitted by law, AILERISE shall not be liable for damages, losses, claims, or consequences arising from decisions made solely on the basis of informative, educational, or general content shared on the website, social media, media, workshops, mentorships, trainings, presentations, events, recordings, materials, or public platforms. AILERISE shall also not be liable for errors, omissions, delays, unmet results, interruptions, losses, or consequences arising from incomplete, incorrect, late, inaccurate, unauthorized, or untimely information provided by the client, participant, or related third parties. To the extent permitted by law, AILERISE’s liability, should any claim arise related to a contracted service, shall be limited to the amount actually paid by the client to AILERISE for the specific service that gave rise to the claim, unless an applicable legal provision provides otherwise. This clause shall not be interpreted as a waiver of minimum rights recognized by law, nor as a limitation of liabilities that cannot be limited under the law.
Responsibility for Materials Provided by the Client or User
The client or user shall be responsible, to the extent permitted by law, for claims, damages, losses, costs, or reasonable expenses arising as a consequence of information, materials, content, images, logos, trademarks, documents, testimonials, instructions, or authorizations provided to AILERISE that are incorrect, false, illegal, unauthorized, infringe third-party rights, or were supplied without the corresponding permissions. This obligation shall apply according to the nature of the service, the particular facts, the applicable agreement, and the remedies available under the law.
Modifications to These Terms
AILERISE reserves the right to modify, update, or amend these Terms at any time, in accordance with changes in its services, business practices, legal requirements, platforms used, or operational needs. The current version will be available on the website or through the medium determined by AILERISE. Continued use of AILERISE’s website, forms, platforms, activities, materials, or services after a modification has been published shall constitute acknowledgment of the revised Terms. If you do not agree with the changes, you must refrain from continuing to use AILERISE’s website, forms, platforms, or digital services.
Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the applicable laws of the Commonwealth of Puerto Rico and, when applicable, in accordance with applicable federal laws. Any controversy related to the interpretation, compliance, breach, validity, termination, or enforcement of these Terms shall be subject to the jurisdiction of the competent courts of Puerto Rico, unless otherwise agreed in writing as permitted by law.
Severability
If any provision of these Terms is declared invalid, null, illegal, or unenforceable by a court, agency, or forum with competent jurisdiction, such determination shall not affect the validity, legality, or enforceability of the remaining provisions, which shall remain in effect to the extent permitted by law.
Applicable Documents and Supplemental Terms
These Terms, together with the Privacy Policy, Testimonials Policy, Legal Release and Warning Regarding Educational Content, specific event policies, forms, invoices, proposals, quotations, contracts, or written agreements accepted by the client or participant, constitute the applicable terms for the use of AILERISE’s website, digital services, materials, access, events, and resources, as applicable. Nothing in these Terms shall limit the application of a services contract, proposal, quotation, invoice, registration form, release, specific policy, or particular written agreement accepted by the client or participant.
